1. Company Overview
THE SOURCE GUY (“we,” “our,” or “us”) is a world sourcing firm that offers product and service sourcing solutions to global clients (“you” or “Client”). We assist in finding suppliers, negotiating terms, quality checking, and organizing logistics and delivery.

2. Scope of Services
*Our services may include, but are not limited to:

*Product and supplier research

*Price negotiation

*Sampling coordination

*Quality inspections

*Logistics support and coordination

*Supplier relationship management

*Tailor-made sourcing projects according to the agreement in writing

Any other services that are not specified herein may be subject to other terms or agreements.

3. Client Responsibilities
The Client agrees to:

Kindly provide accurate and detailed specifications for the products or services requested.

It is essential to communicate any alterations to specifications or requirements promptly.

Ensure that payments are made according to agreed terms.

Comply with the laws and import/export regulations in their country.

4. Payments and Charges
Service prices will be made available in writing in advance and can differ on a project-to-project basis.

Invoices are payable according to agreed terms. Late payment can attract interest or late delivery.

The Client will be responsible for all freight, customs charges, and taxes applicable.

5. Quality and Inspection
While THE SOURCE GUY will make reasonable efforts to provide product quality and specifications compliance, final inspection and acceptance are the Client’s responsibility, except as otherwise agreed in writing.

6. Limitations of Liability
THE SOURCE GUY is only an intermediary and will not be responsible for any direct or indirect loss or damage arising from third-party suppliers, including but not limited to delay, defects, or non-performance.

Our liability is restricted to payment made by the Client with regards to the specific project involved.

We make no warranties or representations other than those set forth in written agreements with suppliers.

7. Intellectual Property
All reports, papers, and materials that are provided by THE SOURCE GUY will be our property unless otherwise assigned. The Client will be allowed to use them solely for the purpose outlined in the service agreement.

8. Confidentiality
Both parties confirm that both parties will maintain as confidential any sensitive or proprietary information exchanged during the duration of business and will utilize any information only for the sole purpose of fulfilling the agreement of sourcing.

9. Termination
Either party can end the engagement on giving written notice to the other party should the other party not fulfill any material term of this agreement. Any unpaid service fees until the termination date shall be payable.

10. Force Majeure
THE SOURCE GUY will have no liability whatever for delay, failure to make delivery, loss, or breach of contract results from causes, including but not limited to Act of God; natural disasters or catastrophes; strikes and labor disputes.

11. Governing Law
These Terms shall be interpreted and construed in accordance with, and governed by, the laws of INDIA , without the application of its rules of conflicts of law.

12. Modifications
We may change or update these Terms at any moment. Changes shall be effective as published on our website or on the date of written notice given to you. Ongoing use of our services shall be treated as acceptance of the new Terms.
